Terms & Conditions — MNB Omni Caller

These Terms & Conditions ("Terms") govern your access to and use of MNB Omni Caller ("the Service"), an AI voice-agent platform operated under the MNB Research brand and powered by Abrobot Technologies. By creating an account, requesting access, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Acceptance of terms

You confirm that you are at least 18 years old and are authorised to bind the organisation on whose behalf you use the Service. These Terms apply together with our Privacy Policy and Refund & Cancellation Policy.

2. The Service

The Service lets you configure AI voice agents, place and receive calls, run campaigns, and view transcripts, summaries and analytics. Features, limits and availability may change as we improve the product. We may modify or discontinue features with reasonable notice where practicable.

3. Accounts & security

You are responsible for the accuracy of your registration details and for all activity under your account.
Keep your credentials confidential and notify us promptly of any unauthorised use.
Accounts are for the registered organisation; do not share access outside your authorised team.

4. Acceptable use

You agree not to use the Service to:

Break any law or regulation, or infringe the rights of others.
Send spam, fraudulent, deceptive, harassing, or unsolicited communications.
Place calls without any consent required by applicable telemarketing or data-protection law.
Impersonate any person or misrepresent your identity or affiliation.
Transmit malware, attempt to breach security, or interfere with the Service.
Reverse-engineer, resell or copy the Service except as expressly permitted.

5. Calling & messaging compliance

You are solely responsible for ensuring that every call, recording and message you initiate through the Service complies with the laws applicable to you and to the people you contact — including do-not-call rules, consent, disclosure and recording-notification requirements. The Service provides tools (such as Do-Not-Call lists and consent controls) to help, but the responsibility for lawful use rests with you.

6. Plans, credits & billing

Paid plans and usage-based credits (such as calling minutes) are billed as described at purchase.
Fees are exclusive of applicable taxes unless stated otherwise; taxes will be added as required by law.
Usage limits, minute caps and agent caps may apply to your plan.
Refunds and cancellations are governed by our Refund & Cancellation Policy.

7. Intellectual property

The Service, including its software, design, branding and content, is owned by MNB Research and Abrobot Technologies and protected by law. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. You retain ownership of the content and data you upload.

8. Your data

You grant us the rights necessary to host and process your content solely to provide the Service, as described in our Privacy Policy. You are responsible for having the rights and consents needed for the contacts and content you upload.

9. Third-party services

The Service relies on third-party telephony, cloud, payment and messaging providers. Your use of those integrations may be subject to their terms. We are not responsible for third-party services outside our control.

10. Disclaimers

The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. AI-generated transcripts, summaries and analytics may contain errors and should not be relied on as the sole basis for decisions.

11. Limitation of liability

To the maximum extent permitted by law, MNB Research and Abrobot Technologies will not be liable for any indirect, incidental, special, consequential or punitive damages, or loss of profits, data or goodwill. Our total aggregate liability arising out of or relating to the Service will not exceed the amount you paid to us for the Service in the three (3) months preceding the event giving rise to the claim.

12. Indemnity

You agree to indemnify and hold harmless MNB Research and Abrobot Technologies from claims, damages and expenses arising out of your use of the Service, your content, or your breach of these Terms or applicable law.

13. Term & termination

These Terms apply while you use the Service. You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms, misuse the Service, or as required by law. Provisions that by their nature should survive termination will survive.

14. Governing law & disputes

These Terms are governed by the laws of India, and the courts at the location of our principal place of business will have jurisdiction, without prejudice to any mandatory consumer-protection rights available to you.
